These terms govern your business's use of the Gradia partner platform. They explain the free listing included with your account, how student offers work and when an optional feature may carry a separate charge.
1. Who these terms are between
These terms are between Gradia Ltd ("Gradia", "we", "us") and the business named on the Partner Account ("you", "the Partner"). They apply when you accept them during registration.
These are business-to-business terms. They do not create a partnership, agency, employment relationship or joint venture between us.
2. What Gradia provides
Gradia is a student rewards platform. Verified UK students use the Gradia app to discover businesses, view offers, redeem eligible offers and earn rewards.
We may list your business and approved offer in the app, provide tools for managing the listing, record activity and show performance information in your dashboard. We do not sell your products, take payment from your customers, handle fulfilment or act as your agent. The contract of sale remains between you and the student.
We do not guarantee any minimum exposure, traffic, redemptions, sales or revenue.
3. The free listing
An approved Partner Account includes:
- one business profile;
- one primary business location;
- one active standard student offer; and
- access to the standard partner dashboard and reporting that Gradia makes available.
There is no setup fee, subscription fee or redemption commission for this included listing. Gradia will not add a charge to the free listing without giving you advance notice and asking you to accept the new commercial terms.
Approval is at our discretion. Creating an account or submitting an offer does not require us to publish it. We may request evidence that you represent the business.
4. Optional paid features
Optional paid features are separate from the free listing. You will see the price and duration before buying one, and a charge applies only when an authorised account user expressly confirms the purchase.
At the date of these terms, the optional paid features are:
- Ongoing offer slot: one additional simultaneous standard offer, which you can edit throughout the subscription, for £12 per month, or £96 billed annually. It renews for the chosen billing period until cancelled.
- Seven-day flash offer: a short offer that runs for seven consecutive days, for a £5 one-off payment. It does not renew.
- Additional location: another place where students can use your offers, for £12 per month, or £96 billed annually. Each additional location has its own daily code and location reporting, and your current offers can be made available there without a further offer charge.
- Insights: detailed performance stats for your offers across your partner account, for £20 per month, or £180 billed annually.
If an offer expires, your included free offer remains available subject to these terms.
Featured placement, email campaigns, notification campaigns and other promotional tools may be offered later. Their price, duration and scope will be shown before purchase. We will not infer acceptance from account registration, silence or continued use of the free listing.
5. Business and location information
You must provide accurate and current information, including your trading name, business category, address, contact details, opening information and website. Tell us promptly if anything material changes.
The included listing covers one primary location, which you provide during onboarding. We will not charge for or publish additional locations unless the applicable scope and price have been presented to and accepted by you.
We may correct formatting, request clarification, reject information that cannot be verified or remove content that is inaccurate, misleading, unlawful or unsuitable for students.
6. Your offer
Your included offer must state clearly:
- what the student receives;
- whether it is available in store, online or both;
- applicable days, times and dates;
- any minimum spend or usage limit;
- participating locations; and
- material exclusions or eligibility conditions.
An offer is not live until Gradia approves and publishes it. You may request a change or withdrawal at any time, but the change takes effect only when the app has been updated. A student who already started a valid redemption may rely on the terms displayed at that time.
You must honour a valid redemption that meets the published conditions. You must not give a student worse service because they used Gradia. You remain responsible for your staff, stock, fulfilment, refunds and customer service.
7. Redemption and activity records
Gradia may use app controls, store codes, links, discount codes, student confirmations or partner confirmations to support redemptions and reporting. These records help operate the platform, but they do not make Gradia the merchant or party to the sale.
You should report suspected fraud, misuse or an incorrect record promptly. We may suspend an affected offer while we investigate.
8. Affiliate programmes
We may ask whether your business already operates an affiliate programme. This question is separate from the free listing and does not determine whether your standard offer is approved.
If Gradia later joins your programme through an affiliate network or direct agreement, that commission arrangement is governed by the applicable network or separate written terms. It does not convert your free listing into a commission-charged listing.
9. Gradia+ offers
Once Gradia+ launches, Gradia may allow you to add an offer available only to Gradia+ members. Unless a separate price is displayed and accepted, Gradia does not charge you to list that offer. Student membership payments are between Gradia and the student.
10. Optional creator content
After approval, Gradia may offer to arrange a student visit and short-form social content about your business. Participation is optional. Unless separate written terms say otherwise, Gradia does not charge you for the content and does not promise a particular reach, number of views or commercial result.
Before a visit, we will agree practical details such as timing, what the student may film, what the business will provide and how the content may be used. Neither side is required to proceed until those details are agreed.
11. Brand and content rights
Your brand remains yours. You grant Gradia a non-exclusive, worldwide, royalty-free licence to use the business name, logo, offer details and supplied imagery to review, publish and promote your listing and offers while you are a partner. You confirm that you have the rights needed to give us that permission.
Gradia's brand remains ours. You may identify yourself as a Gradia partner and use assets we provide for that purpose, but you may not alter our marks, imply an endorsement or make claims about Gradia that we have not approved.
12. Data protection
Each party acts as an independent controller for the personal data it collects for its own purposes. We process partner account and contact data as described in our Privacy Policy.
You will not receive student contact details merely because a student views or redeems an offer, and you must not require a student to join your marketing list as a condition of honouring an offer. If a student gives you personal data during an ordinary purchase, you are responsible for handling it lawfully.
13. Legal and regulatory responsibilities
You are responsible for the legality, safety, quality and accurate description of your products, services and promotions. You must comply with consumer protection, advertising, equality, licensing, age-restriction and data-protection requirements that apply to your business.
Gradia verifies student status. It does not verify age for the sale of age-restricted products. You must perform any required age checks at the point of sale.
14. Suspension and removal
We may suspend or remove a business, location, offer or account where we reasonably believe there is fraud, harm to students, unlawful or misleading content, repeated failure to honour offers, a security issue or a material breach of these terms. Where practical, we will explain the reason and allow you to correct the issue.
15. Ending the agreement
You may close your account or ask us to remove your listing at any time. We may end the agreement on 30 days' written notice, or immediately for a material breach, fraud, a safety risk or a legal requirement.
Ending the agreement does not create a charge for the free listing. Any optional paid feature already purchased continues only for its stated period unless we agree otherwise. Sections concerning data, intellectual property, liability and general legal provisions continue where their nature requires it.
16. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or anything else that cannot lawfully be limited.
Subject to that:
- neither party is liable for indirect or consequential loss, loss of profit, loss of opportunity or loss of anticipated savings;
- Gradia is not responsible for the Partner's products, services, fulfilment or conduct;
- Gradia does not guarantee uninterrupted access to the platform; and
- Gradia's total liability arising in connection with these terms is limited to £1,000.
17. Changes to these terms
We may update these terms to reflect product, legal or operational changes. We will give at least 30 days' notice before a change that introduces a charge or materially reduces the included free service. A charge will not apply unless it is clearly presented and accepted by an authorised account user.
Changes are not retrospective. If you do not accept a material change, you may end the agreement before it takes effect.
18. General
You may not transfer these terms without our consent. We may transfer them as part of a sale or reorganisation of our business, provided this does not reduce your rights.
If part of these terms is unenforceable, the remaining parts continue. A delay in enforcing a right is not a waiver. These terms, together with the Privacy Policy and any expressly accepted paid-feature terms, form the entire agreement on this subject.
We will send notices to the email on your Partner Account. You can contact us at support@gradia.co.uk.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
